1. Agreement Acceptance: By choosing to access or utilize the services provided by MadCats OÜ through the cpaPanel ("the Platform"), you explicitly acknowledge and agree to be bound by the terms and conditions outlined herein. This agreement constitutes a legally binding contract between you and MadCats OÜ. Should you disagree with any part of these Terms and Conditions, please refrain from using our services.
In accepting this agreement, you affirm that you are of legal age and possess the legal capacity to enter into binding contracts. If you are accessing or using the Platform on behalf of an organization or entity, you further represent and warrant that you have the authority to bind that organization or entity to these Terms.
MadCats OÜ reserves the right to modify or update these Terms and Conditions at its discretion. Any such modifications will become effective immediately upon posting on the Platform. It is your responsibility to regularly review these Terms to stay informed of any changes. Continued use of the Platform after modifications are made indicates your acceptance of the updated Terms.
These Terms and Conditions also encompass any additional guidelines or rules provided by MadCats OÜ that may apply to specific features, services, or content offered through the Platform. Such additional guidelines are considered an integral part of this agreement.
2. User Eligibility: In order to access and use MadCats OÜ's cpaPanel ("the Platform"), you must meet specific eligibility criteria. By accepting these Terms and Conditions, you affirm and warrant that you are of legal age in your jurisdiction and possess the legal capacity to enter into a binding agreement. If you are accessing or using the Platform on behalf of an organization or entity, you further confirm that you have the authority to bind that organization or entity to these Terms.
MadCats OÜ strictly prohibits the use of its services by individuals who do not meet the specified eligibility requirements. If you do not meet these criteria, you are not authorized to use the Platform. Additionally, MadCats OÜ reserves the right to suspend or terminate your account and access to the Platform if it is discovered that you do not meet the required eligibility criteria.
It is your responsibility to ensure that your use of the Platform complies with all applicable laws and regulations in your jurisdiction. MadCats OÜ assumes no liability for any unauthorized use of the Platform by individuals who do not meet the specified eligibility criteria.
3. User Responsibilities: As a user of MadCats OÜ's cpaPanel ("the Platform"), you bear certain responsibilities to ensure the proper and lawful use of our services. By accepting these Terms and Conditions, you commit to the following user responsibilities:
3.1 Account Security:
- You are solely responsible for maintaining the confidentiality of your account credentials, including your username and password. You must take all necessary measures to prevent unauthorized access to your account. If you suspect any unauthorized activity, it is your duty to promptly notify MadCats OÜ.
3.2 Prohibited Activities:
- You agree not to misuse the Platform by engaging in any illegal, unethical, or unauthorized activities. This includes, but is not limited to, unauthorized access to the Platform, interference with its functionality, or any actions that may disrupt the user experience for others.
3.3 Compliance with Laws:
- Your use of the Platform must comply with all applicable laws, regulations, and industry standards in your jurisdiction. You are responsible for ensuring that your activities on the Platform do not violate any local, national, or international laws.
3.4 Lawful Content:

4.1 Refund Eligibility:
- Clients are eligible to request a refund within 48 hours of purchasing a subscription plan. This ensures that you have sufficient time to evaluate our cpaPanel and determine its suitability for your specific needs.
4.2 Refund Process:
- To initiate a refund, clients must submit a written request to MadCats OÜ customer support within the 48-hour window. The request should include relevant details, such as the reason for the refund and any supporting documentation.
4.3 Refund Evaluation:
- Refund requests will be evaluated on a case-by-case basis. MadCats OÜ will consider factors such as the nature of the request, the client's usage of the cpaPanel, and adherence to these Terms and Conditions.
4.4 Refund Notification:
- Clients will be notified of the approval or denial of their refund request via the contact information provided. Approved refunds will be processed promptly, and clients will receive confirmation once the refund is issued.
4.5 Refund Limitations:
- Refunds are not applicable for services provided beyond the initial 48-hour period. Additionally, any fees incurred by third-party payment processors during the initial transaction may not be refundable.
5. Payment Terms: Understanding the importance of clear and fair financial arrangements, MadCats OÜ has established the following Payment Terms for users of our cpaPanel services:
5.1 Timely Payments:
- Clients are required to make timely payments for the subscription plan selected during the registration process. Payment obligations are outlined based on the agreed-upon terms and frequency, and adherence to these terms is crucial to maintaining uninterrupted access to the cpaPanel.
5.2 Payment Methods:
- MadCats OÜ accepts payments through various methods as specified in the billing section of the cpaPanel. Clients are responsible for providing accurate and up-to-date payment information, ensuring successful and secure transactions.
5.3 Invoice Generation:
- Invoices within the MadCats OÜ cpaPanel ecosystem are systematically generated directly on the cpaPanel website. Clients can easily access their invoices by navigating to the dedicated billing section on the cpaPanel website.
5.4 Late Payments:
- Failure to make payments within the specified timeframe may result in consequences outlined in these Terms and Conditions, including but not limited to service suspension or system deletion after one month of non-payment.
5.5 Subscription Changes:
- Clients may upgrade or downgrade their subscription plans through the cpaPanel platform. Any changes to subscription plans will be reflected in subsequent invoices, and clients are responsible for understanding the financial implications of such modifications.
5.6 Billing Disputes:
- Clients are encouraged to promptly address any billing concerns or disputes by contacting MadCats OÜ customer support. Resolution of billing disputes will be handled in accordance with the dispute resolution procedures outlined in these Terms and Conditions.
6. System Deletion: MadCats OÜ recognizes the importance of establishing clear guidelines for the management of user accounts and systems within the cpaPanel platform. The provision regarding System Deletion outlines the circumstances and procedures associated with this process:
6.1 Payment Default:
- In the event of non-payment for a subscription plan, MadCats OÜ reserves the right to initiate the system deletion process. Clients are provided a grace period of one month to rectify outstanding payments and prevent potential disruption of services.
6.2 Notification:
- Prior to initiating system deletion, MadCats OÜ will make reasonable efforts to notify clients of the impending action. Notifications may be sent via email or through other communication channels available within the cpaPanel platform.
6.3 Data Preservation:
- MadCats OÜ understands the value of client data. Before system deletion, clients are strongly encouraged to take necessary steps to back up any critical information stored within the cpaPanel platform. MadCats OÜ is not liable for any loss of data resulting from the system deletion process.
6.4 Irreversible Process:
- System deletion is an irreversible process, and once initiated, client accounts and associated data within the cpaPanel platform cannot be recovered. Clients are urged to carefully consider the implications and take timely action to avoid system deletion.
6.5 Service Suspension:
- In addition to system deletion, MadCats OÜ reserves the right to suspend services for accounts in default. Service suspension may impact the client's ability to access and utilize the cpaPanel platform until outstanding payments are settled.
7. Platform Usage: MadCats OÜ places a strong emphasis on responsible and ethical use of the cpaPanel platform. The Platform Usage section outlines the expectations and guidelines that users are required to adhere to while utilizing our services:
7.1 Lawful Conduct:
- Users are obligated to engage in lawful conduct when utilizing the cpaPanel platform. This includes adherence to local, national, and international laws and regulations governing online activities and content.
7.2 Prohibited Activities:
- Users must refrain from engaging in any activities that are illegal, unethical, or unauthorized. Prohibited activities include, but are not limited to, unauthorized access to the platform, disruption of services, and any actions that may compromise the integrity or security of the cpaPanel platform.

8. Limitation of Liability: MadCats OÜ recognizes the importance of defining the extent of its liability to users of the cpaPanel platform. The Limitation of Liability section outlines the parameters within which MadCats OÜ assumes responsibility for its services:
8.1 Indirect Damages:
- MadCats OÜ shall not be held liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with the use or inability to use the cpaPanel platform. This includes, but is not limited to, loss of profits, business interruption, or loss of data.
8.2 Financial Responsibility:
- In no event shall MadCats OÜ's total liability for any claims arising from the use of the cpaPanel platform exceed the total amount paid by the client for their subscription plan. This limitation applies whether the claims are based on contract, tort, or any other legal theory.
8.3 Third-Party Services:
- MadCats OÜ shall not be liable for the acts or omissions of third-party service providers, including payment processors or hosting services. Any issues or disputes arising from the use of third-party services are the responsibility of the respective service provider.
8.4 Reliance on Information:
- Users acknowledge that the cpaPanel platform may provide information and content for informational purposes. MadCats OÜ does not guarantee the accuracy, completeness, or reliability of such information, and users are encouraged to independently verify critical details.
8.5 Force Majeure:
- MadCats OÜ shall not be held liable for any failure or delay in performance resulting from acts beyond its control, including but not limited to acts of nature, war, terrorism, government regulations, or any other force majeure event.
8.6 Assumption of Risk:
- Users acknowledge and assume all risks associated with the use of the cpaPanel platform. MadCats OÜ provides its services "as is" and makes no warranties or representations regarding the reliability, accuracy, or availability of the platform.
9. Termination: MadCats OÜ believes in fostering a positive and secure environment within the cpaPanel platform. The Termination section outlines the circumstances and procedures under which either party may choose to terminate the contractual relationship:
9.1 Voluntary Termination:
- Either the client or MadCats OÜ may terminate this agreement at any time and for any reason by providing written notice. This allows flexibility for users who may need to discontinue their use of the cpaPanel platform or for MadCats OÜ to cease providing services.
9.2 Obligation After Termination:
- Upon termination, clients are still obligated to settle any outstanding fees or payments accrued up to the effective date of termination. MadCats OÜ may pursue collection actions for any unpaid amounts.
9.3 Survival of Terms:
- Certain provisions of these Terms and Conditions, including but not limited to the Limitation of Liability and Governing Law sections, shall survive termination. These provisions continue to apply even after the termination of the contractual relationship between the client and MadCats OÜ.
9.4 Effect on Access:
- Termination of this agreement may result in the suspension or termination of the client's access to the cpaPanel platform. Clients should take necessary steps to back up any critical data before termination, as access to the platform and associated data may not be recoverable post-termination.
9.5 Modification of Services:
- MadCats OÜ reserves the right to modify or discontinue, temporarily or permanently, the cpaPanel platform or any part thereof, with or without notice. Clients acknowledge that MadCats OÜ shall not be liable for any modification, suspension, or discontinuation of the platform.
10. Governing Law: MadCats OÜ is committed to establishing a clear legal framework for the use of the cpaPanel platform. The Governing Law section defines the jurisdiction under which these Terms and Conditions are governed:
10.1 Applicable Law:
- These Terms and Conditions, and any disputes arising from or in connection with them, are governed by the laws of Estonia. This ensures a consistent and coherent legal framework in which the rights and responsibilities of both MadCats OÜ and its clients are defined.
10.2 Exclusive Jurisdiction:

- By agreeing to these Terms and Conditions, clients acknowledge the importance of legal consistency and the benefits of having a governing law that provides a clear legal context for their interactions with MadCats OÜ and use of the cpaPanel platform.
11. Changes to Terms: MadCats OÜ is committed to maintaining transparency and keeping clients informed about any updates or modifications to these Terms and Conditions. The Changes to Terms section outlines the procedures and communication channels related to any alterations made to the terms governing the use of the cpaPanel platform:
11.1 Notification of Changes:
